Terms of Service

These Terms govern your access to and use of KaziPeople, our cloud-based human resources platform. Please read them carefully — by using the Service you agree to them.

1. Agreement to These Terms

These Terms of Service ("Terms") form a binding agreement between KaziPeople ("KaziPeople", "we", "us") and the organization or individual that creates an account ("Customer", "you"). By creating a workspace, clicking "I agree", or otherwise using the Service, you confirm that you have read and accept these Terms and our Privacy Policy. If you accept on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. If you do not agree, you must not use the Service.

2. Definitions

  • Service / Platform — the KaziPeople HR application, websites, APIs, and related services.
  • Customer — the company or organization that subscribes to a KaziPeople workspace.
  • Authorized User — an employee, contractor, or administrator the Customer permits to access its workspace.
  • Customer Data — information the Customer or its Authorized Users submit, including employee records, leave, documents, and HR data.

3. Accounts & Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping login credentials secure, and for all activity that occurs under your workspace and Authorized Users. Notify us promptly at [email protected] of any unauthorized access or suspected breach.

4. Subscriptions, Plans & Fees

The Service is offered under different plans, including a free tier. Paid plans are billed in advance on the cycle shown at sign-up and are exclusive of applicable taxes. Fees are non-refundable except where required by law. We may change pricing with reasonable prior notice; changes take effect on your next billing cycle. If fees are overdue, we may suspend or limit access to the Service after providing notice.

5. Customer Responsibilities

You are responsible for using the Service lawfully. In particular, you agree to:

  • Provide accurate information and keep employee records up to date;
  • Obtain any consents and provide any notices required to upload and process your employees' personal data;
  • Comply with applicable employment, tax, and data-protection laws in your jurisdiction;
  • Manage the roles and permissions of your Authorized Users responsibly.

6. Acceptable Use

You agree not to, and not to permit others to:

  • Use the Service for any unlawful, harmful, or fraudulent purpose;
  • Upload malware, or content that infringes third-party rights or is unlawful;
  • Reverse engineer, scrape, or attempt to gain unauthorized access to the Platform;
  • Interfere with or disrupt the integrity or performance of the Service, or circumvent usage limits.

7. Customer Data & Ownership

As between the parties, you own all Customer Data. You grant KaziPeople a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and support the Service. We process personal data as described in our Privacy Policy, acting as a processor on your behalf for employee data.

8. Third-Party Integrations

The Service may let you connect third-party tools (e.g. calendar, communication, or SSO providers). Those integrations are optional and governed by the third party's own terms. We are not responsible for third-party services and do not warrant their availability or security.

9. Intellectual Property

KaziPeople and its licensors own all rights in the Platform, including software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. No rights are granted except as expressly set out in these Terms.

10. Service Availability, Warranties & Disclaimer

We use commercially reasonable efforts to keep the Service available and may perform scheduled maintenance. We may add, change, or remove features over time. Beta or preview features are provided "as is". Except as expressly stated, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including fitness for a particular purpose, merchantability, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits, data, or goodwill. KaziPeople's total aggregate liability arising out of or relating to the Service will not exceed the fees you paid to KaziPeople in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold KaziPeople harmless from claims, damages, and expenses arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of applicable law or third-party rights.

13. Term & Termination

These Terms apply while you use the Service. Either party may terminate as set out in the applicable plan. On termination, your right to use the Service ends. We will make Customer Data available for export for a reasonable period, after which we may delete it in line with our retention practices and the Privacy Policy.

14. Governing Law & Disputes

These Terms are governed by the laws of the United Republic of Tanzania, without regard to conflict of law rules. The courts of Dar es Salaam will have jurisdiction, except that either party may seek injunctive relief where necessary to protect its rights.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-app). Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
